Welcome to TuesdayTasks. These Terms of Service ("Terms") govern your access to and use of the website at tuesdaytasks.com and all related services provided by TuesdayTasks ("we," "us," or "our"), operated by Raj, based in Fort Lauderdale, FL 33301.

By accessing our website or purchasing our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our website or services.

1. Services

TuesdayTasks provides custom software development and managed application services for small and mid-size businesses, including but not limited to: lead capture and assessment funnels, client portals and dashboards, internal operations tools, email automation systems, and related web applications. Our services are provided on a business-to-business (B2B) basis.

Our service tiers include:

• Launch (Starter): A one-time build fee of $5,000 for a single-purpose custom application, plus $997/month management fee on a 12-month contract.
• Scale (Growth): A one-time build fee of $10,000 for a multi-feature application with client portal and integrations, plus $1,497/month management fee on a 12-month contract.
• Transform (Enterprise): A one-time build fee starting at $15,000 for a full micro-SaaS platform with complex workflows, plus $1,997/month management fee on a 12-month contract.

Pricing and service details are subject to change. Any changes will be communicated to existing clients before their next billing cycle.

2. Account and Client Obligations

By engaging our services, you agree to:

• Provide accurate, current, and complete business information during onboarding
• Respond to reasonable requests for information needed to design and build your application
• Use the services and delivered software only for lawful business purposes
• Not use the services to send spam, engage in harassment, or violate any applicable laws
• Maintain the confidentiality of any login credentials or access provided to you

You are responsible for all activity that occurs under your account or through software we build and deploy for your business.

3. Payment Terms

• The one-time build fee is due before development begins on your custom application.
• Monthly management fees are billed at the start of each billing cycle and are due upon receipt. All contracts have a 12-month minimum term.
• All payments are processed in U.S. dollars (USD).
• Late payments may result in suspension of hosting and management services until the balance is resolved.
• We reserve the right to adjust pricing with 30 days' written notice. Price changes do not apply to existing contracts until renewal.

4. Contract Term and Cancellation

All service agreements are for a minimum term of 12 months from the date of application launch. During this period:

• Monthly management fees are committed for the full 12-month term.
• Early termination requires payment of remaining monthly fees for the contract period, unless otherwise agreed in writing.
• At the end of the 12-month term, contracts renew on a month-to-month basis unless either party provides 30 days' written notice.
• To cancel, provide written notice to tuesday@agentmail.to.
• Upon termination, we will provide you with all source code, credentials, and access to your deployed application within 14 business days.
• We reserve the right to suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay outstanding invoices.

5. Intellectual Property and Code Ownership

All content, designs, text, graphics, and other materials on the TuesdayTasks website are the property of TuesdayTasks or its licensors and are protected by applicable intellectual property laws.

Custom applications built for you: You own the source code, design assets, and deployed application that we build specifically for your business. The source code is maintained in your GitHub repository and deployed to your hosting account. You retain full ownership and portability — if you leave, you take everything with you.

Underlying infrastructure and tools: We retain ownership of our internal development tools, templates, component libraries, and reusable infrastructure that are used across multiple client projects. These are licensed to you as part of your delivered application but are not independently transferable.

6. Your Content and Data

You retain ownership of all business information, customer data, and content you provide to us during onboarding and throughout our service relationship. By providing this information, you grant us a limited license to use it solely to design, build, operate, and improve your custom application.

We will not share your business data with other clients or use it for purposes beyond delivering your service. For full details on how we handle data, see our Privacy Policy.

7. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, TuesdayTasks disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that our services will be uninterrupted, error-free, or that they will produce specific business outcomes, revenue increases, or lead conversion rates. While we strive for excellent results, outcomes vary based on your business, industry, and market conditions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, TuesdayTasks, its owner, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services.

Our total aggregate liability for any claim arising from or related to these Terms or our services shall not exceed the total amount you have paid to TuesdayTasks in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless TuesdayTasks, its owner, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services or delivered software; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you provide through our services.

10. Third-Party Services and Integrations

Our services may integrate with or rely on third-party platforms, including but not limited to Google (Analytics), Firebase (database and authentication), Vercel (hosting and deployment), Resend (email delivery), and Cal.com (scheduling). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or data practices of third-party services.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Broward County, Florida.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at tuesday@agentmail.to. We will make good-faith efforts to resolve any issue within 30 days.

12. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify existing clients via email. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and TuesdayTasks regarding your use of our website and services, and supersede any prior agreements or understandings.
